


{"id":124524,"date":"2026-09-15T11:18:58","date_gmt":"2026-09-15T05:48:58","guid":{"rendered":"https:\/\/vajiramandravi.com\/current-affairs\/?p=124524"},"modified":"2026-09-15T11:18:58","modified_gmt":"2026-09-15T05:48:58","slug":"strengthening-the-insolvency-framework-for-personal-guarantors","status":"publish","type":"post","link":"https:\/\/vajiramandravi.com\/current-affairs\/strengthening-the-insolvency-framework-for-personal-guarantors\/","title":{"rendered":"Strengthening the Insolvency Framework for Personal Guarantors"},"content":{"rendered":"<h2 style=\"text-align: justify;\"><b>Insolvency Framework Latest News<\/b><\/h2>\n<ul style=\"text-align: justify;\">\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">The Insolvency and Bankruptcy Board of India (<\/span><a href=\"https:\/\/vajiramandravi.com\/current-affairs\/ibbi\/\" target=\"_blank\"><b>IBBI<\/b><\/a><span style=\"font-weight: 400;\">) has proposed <\/span><b>four <\/b><span style=\"font-weight: 400;\">key amendments to the insolvency resolution framework for personal guarantors to corporate debtors.\u00a0<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">The objective is to strengthen safeguards available to banks and other creditors and bring the process closer to the protections provided under the Corporate Insolvency Resolution Process (<\/span><b>CIRP<\/b><span style=\"font-weight: 400;\">).<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">The proposals have gained significance following the controversy surrounding the repayment plan approved in the Subhash Chandra case.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">The case had raised questions over creditor protection, large haircuts and the effectiveness of the Insolvency and Bankruptcy Code (<\/span><b>IBC<\/b><span style=\"font-weight: 400;\">), 2016.<\/span><\/li>\n<\/ul>\n<h2 style=\"text-align: justify;\"><b>Why the Subhash Chandra Case Matters<\/b><\/h2>\n<ul style=\"text-align: justify;\">\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">On August 25, a single bench of the National Company Law Tribunal (<\/span><b>NCLT<\/b><span style=\"font-weight: 400;\">) approved a repayment plan involving personal guarantor and Essel Group founder Subhash Chandra.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Creditors with admitted claims of \u20b922,006.57 crore were offered only around \u20b96.25 crore.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Banks alleged that certain non-bank entities involved in the process were associates or related parties of the guarantor.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">They alleged that these entities acted under Chandra\u2019s influence to support a repayment plan involving an exceptionally large haircut. A special NCLT bench subsequently stayed the single-bench order.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">The episode triggered <\/span><b>concerns <\/b><span style=\"font-weight: 400;\">regarding the <\/span><b>effectiveness <\/b><span style=\"font-weight: 400;\">of the <\/span><b>IBC<\/b><span style=\"font-weight: 400;\">, which seeks to facilitate time-bound resolution of insolvency, maximise asset value and improve recovery for creditors.<\/span><\/li>\n<\/ul>\n<h2 style=\"text-align: justify;\"><b>Four Key Amendments Proposed by IBBI<\/b><\/h2>\n<ul>\n<li><b>Bar related parties from voting:<\/b>\n<ul>\n<li><span style=\"font-weight: 400;\">IBBI proposes that a related-party creditor of the personal guarantor should not have voting rights while approving a repayment plan.<\/span><\/li>\n<li><span style=\"font-weight: 400;\">Under CIRP, a related party of the corporate debtor is prohibited from voting in the Committee of Creditors (CoC).\u00a0<\/span><\/li>\n<li><span style=\"font-weight: 400;\">However, in personal-guarantor insolvency, the existing restriction applies to an \u201cassociate\u201d, whose definition is narrower than \u201crelated party\u201d.<\/span><\/li>\n<li><b>For example<\/b><span style=\"font-weight: 400;\">, a company that habitually acts on the guarantor\u2019s advice or instructions may qualify as a related party even if the guarantor does not own shares or formally control its board.\u00a0<\/span>\n<ul>\n<li><span style=\"font-weight: 400;\">Such an entity may nevertheless fall outside the narrower definition of an associate.<\/span><\/li>\n<\/ul>\n<\/li>\n<li><b>Significance<\/b><span style=\"font-weight: 400;\">: The change seeks to prevent conflict of interest, indirect influence and strategic voting by entities connected with the guarantor.<\/span><\/li>\n<\/ul>\n<\/li>\n<li><b>Scrutiny of avoidance transactions:<\/b>\n<ul>\n<li><span style=\"font-weight: 400;\">IBBI proposes that the resolution professional (<\/span><b>RP<\/b><span style=\"font-weight: 400;\">) should examine, during the resolution process itself, whether the guarantor was involved in &#8211;<\/span>\n<ul>\n<li><span style=\"font-weight: 400;\">Preferential transactions<\/span><\/li>\n<li><span style=\"font-weight: 400;\">Undervalued transactions<\/span><\/li>\n<li><span style=\"font-weight: 400;\">Extortionate credit transactions<\/span><\/li>\n<\/ul>\n<\/li>\n<li><span style=\"font-weight: 400;\">The RP would have to place the findings before creditors before they vote on the repayment plan and initiate legal proceedings with their approval.<\/span><\/li>\n<li><span style=\"font-weight: 400;\">At present, unlike CIRP, the personal-guarantor framework does not require the RP to undertake such an examination before the repayment plan is put to vote.<\/span><\/li>\n<li><b>Significance<\/b><span style=\"font-weight: 400;\">: This would help identify possible asset diversion, preferential treatment of creditors and fraudulent or value-diminishing transactions before creditors decide on a repayment proposal.<\/span><\/li>\n<\/ul>\n<\/li>\n<li><b>Mandatory independent asset valuation:<\/b>\n<ul>\n<li><span style=\"font-weight: 400;\">The proposed framework requires the RP to appoint a registered valuer to determine fair value of the guarantor\u2019s assets; and realisable value of those assets.<\/span><\/li>\n<li><span style=\"font-weight: 400;\">The valuation report would be provided to creditors along with the repayment plan.<\/span><\/li>\n<li><span style=\"font-weight: 400;\">This would enable creditors to assess &#8211;\u00a0<\/span>\n<ul>\n<li><span style=\"font-weight: 400;\">Adequacy of available security;\u00a0<\/span><\/li>\n<li><span style=\"font-weight: 400;\">Viability of the repayment plan;\u00a0<\/span><\/li>\n<li><span style=\"font-weight: 400;\">Potential recovery from the guarantor\u2019s assets; and\u00a0<\/span><\/li>\n<li><span style=\"font-weight: 400;\">Whether accepting the repayment plan is commercially preferable to initiating bankruptcy proceedings.<\/span><\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<\/li>\n<li aria-level=\"1\"><b>Record creditors\u2019 commercial rationale:<\/b><\/li>\n<\/ul>\n<ul style=\"text-align: justify;\">\n<li style=\"list-style-type: none;\">\n<ul>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">Currently, in personal-guarantor cases, resolution professionals primarily record voting tallies, without adequately documenting the reasoning behind creditors\u2019 decisions.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">IBBI proposes that minutes of creditors\u2019 meetings should capture &#8211;<\/span>\n<ul>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">Detailed deliberations;<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">Objections and assessments;<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">Reasons for approving or rejecting the repayment plan; and<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">The commercial rationale behind the decision.<\/span><\/li>\n<\/ul>\n<\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">Where the proposed repayment is <\/span><b>substantially lower<\/b><span style=\"font-weight: 400;\"> than either the admitted claims or the estimated realisable value of assets, creditors would specifically have to explain why accepting the plan is preferable to commencing bankruptcy proceedings.<\/span><\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<h2 style=\"text-align: justify;\"><b>Significance of the Proposal<\/b><\/h2>\n<ul style=\"text-align: justify;\">\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">The proposals seek to reinforce the core principles of the IBC &#8211;
