


{"id":14409,"date":"2023-08-26T01:51:21","date_gmt":"2023-08-25T20:21:21","guid":{"rendered":"https:\/\/vajiramandravi.com\/current-affairs\/?p=14409"},"modified":"2025-04-02T20:23:43","modified_gmt":"2025-04-02T14:53:43","slug":"what-is-gun-jumping","status":"publish","type":"post","link":"https:\/\/vajiramandravi.com\/current-affairs\/what-is-gun-jumping\/","title":{"rendered":"What is Gun Jumping?"},"content":{"rendered":"<h2><strong>About Gun Jumping:\u00a0<\/strong><\/h2>\n<ul>\n<li>It essentially means <strong>acting before the appropriate time <\/strong>and refers to situations where a party or parties to a combination (M&amp;A deal) <strong>consummate a transaction before CCI approves the transaction,<\/strong> thereby, violating standstill obligations.<\/li>\n<li>It is all about <strong>competition and merger control.<\/strong><\/li>\n<li>Gun Jumping in competition jurisprudence occurs when parties to Mergers and acquisitions <strong>deal consummate the transaction without keeping the competition authorities informed.<\/strong><\/li>\n<li>Most competition regimes, including India, <strong>requires pre-merger notification<\/strong> (in India it is the CCI)<\/li>\n<li>The concept of gun-jumping has not been expressly defined in the Competition Act, 2002.<\/li>\n<li>The law requires parties to a deal satisfying certain monetary thresholds, to first notify the CCI about the impending transaction.<\/li>\n<li>Parties are then obligated to conform to <strong>the standstill provisions \u2014 wait for 210 days<\/strong> from the date of notifying or till CCI approval happens, whichever is earlier.<\/li>\n<li>During the standstill period, the parties are required to continue to operate their businesses as independent entities.<\/li>\n<li>If the parties fail <strong>to notify CCI before the consummation<\/strong> of the deal or violate standstill obligations, this is typically referred to as gun jumping.<\/li>\n<li><strong>Penalties:<\/strong>\n<ul>\n<li>The Competition Commission of India (CCI) has the power to penalise parties for Gun Jumping under <strong>Section 43A of the Competition Act 2002.<\/strong><\/li>\n<li>The penalty can be as <strong>high as 1 per cent of the total turnover<\/strong> or 1 per cent of the assets, whichever is higher, of the combination.<\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<p>&nbsp;<\/p>\n<hr \/>\n<h3>Q1) What is the Competition Commission of India?<\/h3>\n<p>The Competition Commission of India is a regulatory body in India responsible for enforcing competition laws to promote and sustain competition in various sectors of the economy.
