{"id":22304,"date":"2024-04-09T01:50:46","date_gmt":"2024-04-08T20:20:46","guid":{"rendered":"https:\/\/vajiramandravi.com\/current-affairs\/?p=22304"},"modified":"2025-04-06T18:48:14","modified_gmt":"2025-04-06T13:18:14","slug":"partnership-firm","status":"publish","type":"post","link":"https:\/\/vajiramandravi.com\/current-affairs\/partnership-firm\/","title":{"rendered":"What is a Partnership Firm?"},"content":{"rendered":"<h2>About Partnership Firm<\/h2>\n<ul>\n<li>A partnership firm is a <strong>business entity<\/strong> where two or more <strong>individuals come together<\/strong> to manage and <strong>operate a business.<\/strong><\/li>\n<li>The partners <strong>pool their resources, knowledge<\/strong>, and <strong>skills<\/strong> to achieve <strong>common business goals.<\/strong><\/li>\n<li>It is a <strong>widely preferred<\/strong> form of business, primarily due to its simplicity and <strong>ease of formation.<\/strong><\/li>\n<li>The partnership business includes any kind of trade, occupation, and profession.\u00a0<\/li>\n<li>A partnership consists of <strong>three essential elements.<\/strong>\n<ul>\n<li>A partnership <strong>must be the result of an agreement<\/strong> between <strong>two or more individuals.<\/strong><\/li>\n<li>The agreement must be built <strong>to share the profits<\/strong> obtained <strong>from the business.<\/strong><\/li>\n<li>The business <strong>must be run by all or any of them<\/strong> representing the rest.<\/li>\n<\/ul>\n<\/li>\n<li>All these conditions must coexist before a partnership can come into existence.<\/li>\n<li><strong>Indian Partnership Act, 1932<\/strong>\n<ul>\n<li>A partnership firm in India is governed and regulated by the Indian Partnership Act, 1932.<\/li>\n<li>The act <strong>defines partnership as a profit-sharing relation<\/strong> between two or more partners.<\/li>\n<li>The duties and responsibilities of the partners, along with profit sharing, are <strong>defined in <\/strong>an agreement or deed known as<strong> Partnership Agreement.<\/strong><\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<p>There are <strong>mainly three types of partnerships,<\/strong> which are as follows:<\/p>\n<ul>\n<li><strong>General Partnership:<\/strong>\n<ul>\n<li>In a general partnership, all the <strong>partners hold equal rights<\/strong> and <strong>participate in the decision-making<\/strong> and management of the firm.<\/li>\n<li>The general partner <strong>puts his capital, skills, and labor<\/strong> to achieve the firm\u2019s financial goals.\u00a0<\/li>\n<li>In a general partnership, <strong>apartner has unlimited liability<\/strong> and has the <strong>right to take decisions<\/strong> regarding the management and operations of the firm.\u00a0<\/li>\n<\/ul>\n<\/li>\n<li><strong>Partnership at will:<\/strong>\n<ul>\n<li>Section 7 of the Indian Partnership Act, 1932, defines partnership at will as <strong>when there is no provision<\/strong> made between the partners <strong>for the duration of their partnership<\/strong>, or for the determination of their partnership.<\/li>\n<li>There are <strong>two essential conditions<\/strong> for partnership at will, which are as follows:\n<ul>\n<li>There is <strong>no fixed period for the partnership<\/strong> to exist<\/li>\n<li>There is <strong>no determination of the partnership<\/strong>.<\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<\/li>\n<li><strong>Particular partnership:<\/strong>\n<ul>\n<li>A particular partnership is formed to <strong>manage and run a particular business<\/strong> or venture.<\/li>\n<li><strong>When the particular purpose is served,<\/strong> the <strong>partnership can be dissolved<\/strong>.<\/li>\n<li>However, the partners can continue with the said partnership by making an agreement.<\/li>\n<li>If there is no agreement, the particular partnership is dissolved.<\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<h3>What is a Limited Liability Partnership (LLP)?<\/h3>\n<ul>\n<li>An LLP is a corporate business form that provides the benefits of a partnership firm and a company.<\/li>\n<li>It is a <strong>hybrid between a company and a partnership<\/strong> firm as it incorporates the properties of both structures.<\/li>\n<li>LLP is a <strong>separate legal entity,<\/strong> and it can<strong> own properties in its own name.<\/strong> It <strong>alone will be liable <\/strong>to its liabilities.<\/li>\n<li><strong>Partner\u2019s liability<\/strong> is <strong>limited to their contribution to the LLP<\/strong>.
