{"id":66485,"date":"2026-08-02T14:48:50","date_gmt":"2026-08-02T09:18:50","guid":{"rendered":"https:\/\/vajiramandravi.com\/current-affairs\/?p=66485"},"modified":"2026-08-04T10:59:14","modified_gmt":"2026-08-04T05:29:14","slug":"clean-slate-doctrine","status":"publish","type":"post","link":"https:\/\/vajiramandravi.com\/current-affairs\/clean-slate-doctrine\/","title":{"rendered":"Clean Slate Doctrine under the Insolvency and Bankruptcy Code (IBC)"},"content":{"rendered":"<h2><b>Clean Slate Doctrine Latest News<\/b><\/h2>\n<p style=\"text-align: justify;\"><span style=\"font-weight: 400;\">The Supreme Court&#8217;s recent judgment in Ujaas Energy reminds us that the Clean Slate Doctrine is directed at extinguishing claims and not necessarily every legal consequence that may flow from the facts underlying those claims. <\/span><\/p>\n<h2><b>About Clean Slate Doctrine<\/b><\/h2>\n<ul>\n<li style=\"text-align: justify;\"><span style=\"font-weight: 400;\">It is a key legal principle <\/span><b>embedded<\/b><span style=\"font-weight: 400;\"> in the <\/span><b>Insolvency and Bankruptcy Code, 2016 <\/b><span style=\"font-weight: 400;\">(\u201cIBC\u201d), which plays a pivotal role in the corporate insolvency process in India.<\/span><\/li>\n<li style=\"text-align: justify;\"><span style=\"font-weight: 400;\">The doctrine suggests that <\/span><b>once a company successfully undergoes a Corporate Insolvency Resolution Process (CIRP) <\/b><span style=\"font-weight: 400;\">\u00a0and is <\/span><b>taken over by a new buyer<\/b><span style=\"font-weight: 400;\">, the <\/span><b>new owner <\/b><span style=\"font-weight: 400;\">should <\/span><b>not be held accountable for any of the company\u2019s pre-existing debts, penalties, or liabilities.\u00a0\u00a0<\/b><\/li>\n<li style=\"text-align: justify;\"><span style=\"font-weight: 400;\">It means that<\/span><b> once a resolution plan is approved,<\/b><span style=\"font-weight: 400;\"> the <\/span><b>successful resolution applicant acquires the corporate debtor free from past liabilities<\/b><span style=\"font-weight: 400;\"> that are not included in the approved resolution plan.\u00a0<\/span><\/li>\n<li style=\"text-align: justify;\"><span style=\"font-weight: 400;\">This principle is designed to<\/span><b> give the company a fresh start, <\/b><span style=\"font-weight: 400;\">essentially, a <\/span><b>\u201cclean slate\u201d<\/b><span style=\"font-weight: 400;\"> free from the baggage of its prior financial troubles.\u00a0\u00a0<\/span><\/li>\n<li style=\"text-align: justify;\"><span style=\"font-weight: 400;\">The doctrine is primarily<\/span><b> based on Section 31 of the IBC, 2016<\/b><span style=\"font-weight: 400;\">.<\/span><\/li>\n<li style=\"text-align: justify;\"><span style=\"font-weight: 400;\">Several landmark <\/span><b>Supreme Court judgments have reinforced<\/b><span style=\"font-weight: 400;\"> the Clean Slate Doctrine:<\/span>\n<ul>\n<li style=\"text-align: justify;\"><b>Committee of Creditors of Essar Steel India Ltd. v. Satish Kumar Gupta &amp; Ors. (2020):<\/b>\n<ul>\n<li style=\"text-align: justify;\"><span style=\"font-weight: 400;\">The SC emphasized that one of the primary objectives of the IBC is to streamline insolvency procedures in India and bring all claims under a unified system.<\/span><\/li>\n<li style=\"text-align: justify;\"><span style=\"font-weight: 400;\">The SC ruled that <\/span><b>once a resolution plan is approved<\/b><span style=\"font-weight: 400;\"> by the <strong><a href=\"https:\/\/vajiramandravi.com\/current-affairs\/national-company-law-tribunal\/\" target=\"_blank\">National Company Law Tribunal<\/a><\/strong> (NCLT), any and<\/span><b> all previous liabilities, <\/b><span style=\"font-weight: 400;\">including debts and penalties, are <\/span><b>extinguished.<\/b><\/li>\n<li style=\"text-align: justify;\"><span style=\"font-weight: 400;\">This means <\/span><b>no party can initiate or continue any legal proceedings<\/b><span style=\"font-weight: 400;\"> related to a<\/span><b> claim that is not included in the approved resolution plan.<\/b><\/li>\n<\/ul>\n<\/li>\n<li style=\"text-align: justify;\"><b>Arun Kumar Jagatramka v. Jindal Steel and Power Ltd. (2021): <\/b><span style=\"font-weight: 400;\">The Court <\/span><b>reiterated that the approval of a resolution plan<\/b><span style=\"font-weight: 400;\"> under Section 31 of IBC<\/span><b> results in a clean slate,<\/b><span style=\"font-weight: 400;\"> allowing the successful resolution applicant to run the business without past encumbrances.<\/span><\/li>\n<li style=\"text-align: justify;\"><b>Ghanashyam Mishra and Sons Pvt. Ltd. v. Edelweiss Asset Reconstruction Co. Ltd. <\/b><span style=\"font-weight: 400;\">(2021)<\/span>\n<ul>\n<li style=\"text-align: justify;\"><span style=\"font-weight: 400;\">This ruling clarified that once a resolution plan is approved, all claims that are not part of the plan stand extinguished.<\/span><\/li>\n<li style=\"text-align: justify;\"><span style=\"font-weight: 400;\">It further held that <\/span><b>no stakeholder, including government authorities<\/b><span style=\"font-weight: 400;\">, can <\/span><b>continue proceedings <\/b><span style=\"font-weight: 400;\">for claims not included in the resolution plan.<\/span><\/li>\n<\/ul>\n<\/li>\n<li style=\"text-align: justify;\"><b>Ebix Singapore Pvt. Ltd. v. CoC of Educomp Solutions Ltd. (2021): <\/b><span style=\"font-weight: 400;\">The Supreme Court emphasized that <\/span><b>even stakeholders who were not direct participants in the CIRP are bound<\/b><span style=\"font-weight: 400;\"> by the consequences of an <\/span><b>approved resolution plan.<\/b><\/li>\n<li style=\"text-align: justify;\"><b>Vaibhav Goel and Anr. v. DCIT and Anr.
